3. Intellectual Property

a. If you comply with these terms and conditions, we grant you a non-exclusive, non-transferable, limited and revocable right to use the website for non-commercial purposes as described in this document.

b. This website and all content that we make available to you, including software, images, graphics, logos, documents, texts, slogans, user content and other information ("Content"), as well as all associated intellectual property rights (including copyrights, database rights and trademark rights) and other rights, are our exclusive property or the property of their respective owners.

c. You may not copy, reproduce, republish, translate, offer, transmit or distribute in any way any part of the Website or the Content, unless expressly permitted in these terms and conditions or otherwise expressly authorised in writing by us and the respective holders.

4. Content

a. Conscio may post links to third party apps/content/services for information purposes.

b. Conscio may also allow users to post content such as photos, reviews, descriptions, comments, questions and other information ("user content"), which are the property of the user concerned, on the website.

c. You agree not to post User Content for any commercial or professional purpose, or User Content that is unlawful, harmful, abusive, defamatory, harassing, invasive of privacy or otherwise inappropriate. We reserve the right to refuse and/or remove any user content that we believe, at our sole discretion, violates these terms.

d. By posting user content on this website: you grant us a non-exclusive, transferable, sub-licensable, royalty-free, perpetual, worldwide and irrevocable license to use, modify, translate, reproduce, publish and distribute your user content on Conscio and any other of our services and the services of our affiliates; you grant each user of this website a non-exclusive, non-transferable and royalty-free licence to use your User Content as permitted by the features of the website and in accordance with these Terms and Conditions; you represent and warrant that you have all rights for the purposes of this paragraph.

5. Liability

a. We do not make any representations, express or implied, about: the availability of the website at any particular time and place, or its compatibility with your hardware, or its uninterrupted use, continuity, absence of viruses, bugs or other defects, or any remedies; the content of the website, including the user content and the links to third-party apps/content/services.

b. To the extent permitted by applicable law, we shall not be liable for any damages resulting from the website and our products and services, unless intentional misconduct is involved.

c. In any event, our liability is excluded for indirect damages such as loss of income, loss of productivity and loss of data, or for moral damages, including (but not limited to) reputational damages.

d. The limitation of liability in the above paragraphs applies to the extent permitted by applicable law, regardless of the applicable liability regime, and even in cases of gross negligence.

e. If Conscio is held liable despite the above provisions, our liability shall in any case be limited to EUR 100.

    a. These terms and conditions are exclusively governed by Belgian law.

    b. Only the courts of the place where we have our registered office have jurisdiction to settle disputes concerning these terms and conditions, without prejudice to the applicable mandatory law which provides that the courts of your place of residence have jurisdiction.

    7. If you do not accept these terms and conditions, you must stop using them or visiting the website.

    B. Conscio Products - Conditions

    1. Identity of the trader

    2. Definitions

    a. Conscio (hereinafter referred to as 'we' or 'Conscio') CONSCIO BV, whose details are given above.

    b. Customer (hereinafter referred to as 'you' or 'Customer') Natural or legal persons with whom Conscio concludes a contract or with whom Conscio is negotiating the conclusion of a contract.

    c. Consumer Natural persons who act for purposes other than their profession, business or craft;

    d. Product Goods or services offered by Conscio

    3. Applicability

    a. The sales conditions of Conscio apply to every offer for a product from Conscio to the Customer.

    b. Conscio delivers exclusively in Belgium, France, Germany, Italy, Luxembourg, the Netherlands, Spain, Denmark and the United Kingdom. Conscio delivers Conscio products exclusively in Belgium and the Netherlands. Conscio reserves the right to refuse orders with a delivery address in a country other than the aforementioned.

    c. To be able to place an order, you have to be over 18 years of age and not legally incapable and have a valid e-mail address. If Conscio learns that an order has been made by a minor, Conscio reserves the right to refuse the order.

    d. You are solely and exclusively responsible for all aspects of your use.

    e. By placing an online order on the website, you formally accept the Conscio sales conditions and the Conscio data protection policy. You can find these on our website.

    4. Our offer and your order

    a. Conscio expressly states in its offer whether it is valid for a limited time or if specific conditions apply which are different from those laid down in these sales terms and conditions

    b. Conscio gives a clear, complete and accurate description of the products sold to you, as well as of the steps in the Conscio delivery process.

    c. The sales contract between us is concluded as soon as Conscio confirms your order in writing. The confirmation follows after Conscio has received an approval from the issuer of your card. Orders without valid payment in the name of the registered cardholder will not be accepted or processed by Conscio. When using the bank card of another cardholder, you confirm that you have permission to use that bank card for the purchase from Conscio and to make the payment with it. If the issuer of your card would refuse to authorize your payment to Conscio, Conscio cannot be held responsible for delays in delivery and/or non-delivery of your order. Conscio accepts the following payment methods: Visa, MasterCard, iDeal and Bancontact.

    d. Conscio shall deliver the goods within 30 days after it has confirmed the order in writing.

    e. To purchase a product, add it to your shopping cart. Then you fill in your contact information and invoice information. Then you confirm the delivery. At the last step you will be directed to an overview page. By clicking on the "complete order" button, you accept Conscio's terms and conditions. After completion of these steps your order will be final

  2. 5. Right of cancellation

    a. If you are a consumer, you have the right to cancel your purchase and return the order without giving any reason and without any additional costs (except for the return shipping costs).

    b. The cancellation period expires 30 days after the day on which you or a third party, other than the carrier and indicated by you, takes physical possession of the goods. If the goods are delivered in several lots or pieces, the cancellation period ends 30 days after the day on which you take physical possession of the last lot or piece.

    c. Please note: the right of cancellation does not apply if goods are manufactured according to the customer's specifications or are clearly personalised.

    d. You must return the goods or hand them over to Conscio without undue delay and in any case not more than 30 days after you have notified us that you are cancelling this contract with us. The deadline is met if you return the goods before the 30-day period has expired. The direct costs of returning the goods are at your expense.

    e. You shall only be liable for any diminished value of the goods resulting from their handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

    f. Insofar as these actions are not necessary to establish the nature, characteristics and functioning of the product, you will be liable to Conscio for any reduction in value caused by these actions.

    g. If you return the goods to Conscio, Conscio can refuse to refund you until it has received the returned goods or until you have proved that you have returned the goods, whichever situation occurs first.

    h. Conscio shall refund you at the latest 30 days after the day on which it has received the returned goods. If Conscio offers to collect the goods itself, you will be reimbursed within 30 days from the day on which you have informed Conscio that you are cancelling the purchase contract.

    i. Conscio shall use the same payment method as used by you in the original transaction, unless you have expressly agreed otherwise, and provided that you do not owe any additional costs for such a refund. Conscio will not reimburse the additional costs if you have explicitly chosen a delivery which is not the cheapest standard delivery offered by Conscio.

    j. You must handle the order and its packaging with the utmost care during the first 30 days after delivery. As a consumer, you are liable for any reduction in value of the goods as a result of handling other than what is necessary to establish the nature, characteristics and functioning of the goods. To determine the nature, characteristics and functioning of the goods, you should only handle and inspect the product in the same manner as you would be allowed to do in a shop.

    k. To exercise your right of cancellation, please complete the attached form (or make a similar unambiguous statement) and send it by post or e-mail as stated in item 1 above. We will send you confirmation of your cancellation.

    6. Price

    a. The applicable prices are those in force at the time the purchase contract is entered into. Conscio's prices do not change during the period stated in the offer; price changes due to changes in tax rates are an exception to this.

    b. Unless otherwise stipulated, the prices stated are inclusive of VAT and all other taxes, and exclusive of shipping costs. The shipping costs may vary depending on the delivery method and the country of delivery.

    c. Conscio will always inform you of the total price before proceeding with your order.

    7. Payment

    a. We only accept payment in advance through the payment methods listed on our website (see art. 4 above).

    b. In order to ensure secure online payment and the safety of your personal data, transaction data is only transmitted via encryption with SSL technology. No special software is required for payments with SSL.

  3. 8. Warranty

    a. If you are a consumer, you have a legal warranty of one year on the goods you have purchased from Conscio.

    9. Delivery and execution

    a. All products will be delivered to the address you have given to Conscio as your delivery address or address of performance of services.

    b. The delivery time indicated by Conscio shall be based on the circumstances applicable to Conscio when the contract is concluded.

    c. Unless the parties have agreed on a different delivery period, Conscio shall deliver the goods physically or transfer control of the goods to the consumer without undue delay and not more than 30 days from the date of conclusion of the contract.

    d. To the extent that Conscio has failed to fulfil its obligation of delivering the goods at the time or within the time frame agreed with you, you shall call upon Conscio to make the delivery within an additional time period appropriate to the circumstances. If Conscio fails to deliver the goods within that additional period of time, you are entitled to cancel the contract.

    e. When Conscio dispatches the goods to you, the risk of loss of or damage to the goods passes to you as soon as you or a third party designated by you, other than the carrier, takes physical possession of the goods. However, the risk shall pass to you upon delivery to the carrier if the carrier has been instructed to transport the goods and this choice has not been offered by Conscio, without prejudice to your rights vis-à-vis the carrier.

    10. Force majeure

    a. If Conscio cannot fulfil any of its obligations to the Customer due to force majeure, these obligations will be suspended during the situation of force majeure.

    b. Force majeure cases are considered to be: all circumstances which are beyond Conscio's will and control, as a result of which the fulfilment of our obligations is made partly or entirely impossible. Such cases include strikes, fires, interruptions of energy supplies or telecommunication networks or communication systems and / or the temporary failure of the webshop, delayed delivery or no delivery by suppliers or other third parties.

    11. Intellectual Property

    a. All content that we make available to you through our website and all other communication tools, including software, images, graphics, logos, documents, texts, slogans, user content and other information ("Content"), as well as all associated intellectual property rights (including copyrights, database rights and trademark rights) and other rights, are our exclusive property or the property of the respective holders.

    b. You may not copy, reproduce, republish, translate, offer, transmit or distribute in any way any part of the Content, unless expressly permitted in these provisions or otherwise expressly authorised in writing by us and the respective holders.

    12. Liability

    a. To the extent permitted by applicable law, we shall not be liable for any damage caused by our products, except in the case of wilful misconduct.

    b. In any case, our liability is excluded for indirect damages such as accidental damage, loss of income, loss of productivity and loss of data, or for moral damages such as damage to reputation.

    c. The limitation of liability in the above paragraphs applies to the extent permitted by applicable law, regardless of the applicable liability regime, and even in cases of gross negligence.

    d. If Conscio is held liable for any damage despite the preceding provisions, Conscio's liability is in any case limited to the price paid by you for the Conscio products concerned or to the amounts actually paid to Conscio by its insurance company for the compensation of the damage concerned, whichever amount is higher.

  4. 13. Complaints

    a. If you have any complaints about Conscio products, please feel free to contact us as mentioned in point 1 above.

    b. These conditions are governed exclusively by Belgian law, regardless of where you live. Only the courts of the place where we have our registered office are authorised to settle disputes concerning these conditions, without prejudice to the applicable mandatory law that provides for the jurisdiction of the courts of your place of residence.

    c. If you are a consumer, you can contact the Federal Consumer Ombudsman's Office for an out-of-court settlement of consumer disputes https://www.mediationconsommateur.be/nl.

    d. In the event of a cross-border dispute, please contact the European Union's Online Dispute Resolution platform https://ec.europa.eu/consumers/odr/main/index.cfm?event=main.home2.show&lng=NL.

    14. Final provisions

    a. If, for any reason, any provision of this agreement is found to be invalid, void or unenforceable, that finding shall not affect the validity of the remaining provisions. In such a case, the parties undertake to replace the provision found to be invalid, void or unenforceable with a new provision by mutual agreement which approaches the parties' objectives as closely as possible and incorporates the spirit of these conditions.

    b. An omission or failure to comply with a provision shall not imply that such provision is invalid.
